Pricing of Public Offering of Common Stock

American Superconductor
Corporation (NASDAQ:
AMSC) today announced the
pricing of an underwritten public offering of 4,700,000 shares of its common
stock at a price to the public of $21.25 per share, before underwriting
discounts and commissions. AMSC also granted the underwriters a 30-day option to
purchase up to an additional 705,000 shares of common stock. All of the shares
are being offered by AMSC. The offering is expected to close on or about July
25, 2007, subject to customary closing conditions.
Morgan Stanley & Co. Incorporated is acting as
the book runner for the offering. Jefferies & Company, Inc. and Needham &
Company, LLC are acting as co-managers for the offering.
AMSC filed a registration statement, which has
been declared effective by the Securities and Exchange Commission (SEC). A copy
